1. Introduction
Welcome to Equipia Solutions Ltd (“we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the Equipia platform at equipia.io, including our AI-powered medical equipment cutsheet generation and product specification library services (the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
These Terms are governed by the laws of Hong Kong Special Administrative Region.
2. Definitions
- “Agreement” refers to these Terms and Conditions and any related policies, together with all amendments thereto.
- “User” refers to any individual who registers for and accesses the Service through a personal account.
- “Content” refers to any data, information, or material submitted or uploaded to the Service by Users, including URLs and links to external sources.
- “Generated Content” refers to any AI-generated output produced by the Service in response to User-submitted Content, including medical equipment cutsheets and product specifications.
- “AI Feature” refers to the AI-powered cutsheet generation and product specification library functionality of the Service.
- “Account” refers to the registered user account created by a User to access the Service.
3. Account Registration and Security
3.1. Account Creation: To access the Service, you must create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Each User may only hold one Account.
3.2. Account Security: You are responsible for maintaining the confidentiality of your Account credentials and for restricting access to your Account. You agree to accept responsibility for all activities that occur under your Account and to notify us immediately at data@equipia.io of any unauthorised use of your Account.
3.3. Account Termination by User: You may request deletion of your Account at any time by contacting us at data@equipia.io. Upon deletion, your personal data will be anonymised in accordance with our Privacy Policy. Anonymised usage data and Generated Content may be retained.
4. Acceptable Use
You agree not to use the Service to:
(a) Upload, post, submit, or transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
(b) Submit URLs or links to content you do not have the right to access, reproduce, or summarise, including paywalled, restricted, or confidential content;
(c) Submit URLs to websites containing malicious code, malware, or content that violates any applicable law;
(d) Impersonate any person or entity or falsely misrepresent your affiliation with a person or entity;
(e) Interfere with or disrupt the Service or servers or networks connected to the Service;
(f) Use the AI Feature or Generated Content for any clinical, diagnostic, regulatory, or patient care decision-making purpose without independent professional verification;
(g) Represent AI-generated cutsheets or product specifications as officially certified or manufacturer-verified documents without independent confirmation;
(h) Attempt to reverse-engineer, scrape, or extract the underlying AI models or data used by the Service;
(i) Violate any applicable local, national, or international law or regulation.
5. AI Feature — Disclaimer and Limitations
5.1. Nature of Generated Content: The AI Feature generates cutsheets and product specifications based on information submitted by Users and processed by Microsoft Azure OpenAI. All Generated Content is produced automatically and has not been verified, endorsed, or certified by Equipia Solutions Ltd, any manufacturer, or any regulatory body.
5.2. No Professional Advice: Generated Content does not constitute medical, clinical, regulatory, or professional advice of any kind. It is provided for informational and reference purposes only. Users should independently verify all Generated Content against official manufacturer documentation, regulatory filings, and applicable standards before relying on it for any purpose.
5.3. Accuracy Disclaimer: We do not warrant the accuracy, completeness, currency, or fitness for purpose of any Generated Content. AI-generated output may contain errors, omissions, or outdated information. Equipia Solutions Ltd accepts no liability for any decisions made or actions taken in reliance on Generated Content.
5.4. User Responsibility: You are solely responsible for the URLs and Content you submit to the Service, and for verifying the accuracy of any Generated Content before use. You represent that you have the right to submit any URL or Content to the Service.
5.5. Third-Party Content: Generated Content may be derived from third-party sources accessible via submitted URLs. We do not claim ownership of such third-party content and make no representations about its accuracy or reliability.
6. Intellectual Property Rights
6.1. Our IP: We retain all rights, titles, and interests in and to the Service, including all related intellectual property rights, the AI Feature, and the platform infrastructure. No rights are granted to you other than as expressly set forth herein.
6.2. User Content: You retain all rights in and to the Content you submit. By submitting Content, you grant us a limited, worldwide licence to process and use that Content solely for the purpose of providing the Service to you.
6.3. Generated Content: Generated Content produced for your Account is made available to you for your personal, non-commercial reference use. You may not represent Generated Content as officially certified documentation or resell it as a standalone product.
6.4. Third-Party IP: You are responsible for ensuring that any URLs you submit do not infringe the intellectual property rights of third parties. We accept no liability for any IP infringement arising from Content submitted by Users.
6.5. Feedback: If you provide us with any suggestions, enhancement requests, or other feedback, we may use such feedback without restriction or compensation to you.
7. Service Tiers
7.1. Free Tier: The Service is currently available to registered Users free of charge. Access to the AI Feature, cutsheet generation, and product specification library is included in the free tier.
7.2. Future Paid Tiers: We may introduce paid subscription tiers in the future. If and when paid tiers are introduced, we will provide Users with advance notice and clear pricing information before any charges are applied. You will never be charged without your explicit consent.
7.3. No Automatic Charges: We will not automatically charge you without your prior agreement. Any transition from a free tier to a paid tier will require affirmative action on your part.
8. Newsletter and Marketing Communications
8.1. Newsletter Enrolment: By creating an Account, you agree to receive newsletters and marketing communications from Equipia Solutions Ltd at the email address provided. You may unsubscribe at any time as described in Section 8.2.
8.2. Opt-Out: You may unsubscribe from marketing communications at any time by clicking the unsubscribe link included in every marketing email, or by contacting us at data@equipia.io.
8.3. Processing of Opt-Out Requests: We will process all unsubscribe requests within 10 business days. We will not send further marketing emails after processing your request.
8.4. Email Identification: All marketing emails from Equipia Solutions Ltd will accurately identify the sender and will not use deceptive subject lines.
9. Privacy
Our collection and use of personal data in connection with the Service is governed by our Privacy Policy. The Privacy Policy forms part of these Terms. By using the Service, you acknowledge that you have reviewed our Privacy Policy and agree to its terms.
10. Confidentiality
10.1. Definition: “Confidential Information” means all non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.
10.2. Protection: Each party agrees to use the same degree of care to protect the other’s Confidential Information as it uses to protect its own (but no less than reasonable care), and not to use or disclose such information outside the scope of this Agreement.
10.3. Exceptions: Either party may disclose Confidential Information if compelled by law, provided reasonable prior notice is given to the other party to the extent legally permitted.
11. Warranties and Disclaimers
11.1. Service Warranty: We will use reasonable efforts to maintain the availability and functionality of the Service. We do not warrant uninterrupted or error-free operation of the Service.
11.2. Disclaimer: Except as expressly provided herein, the Service and all Generated Content are provided “as is” without warranty of any kind, whether express, implied, statutory or otherwise. We specifically disclaim all implied warranties including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.
11.3. Third-Party URLs: We make no representations or warranties regarding the content, accuracy, or availability of any third-party websites accessed via URLs submitted to the Service.
12. Limitation of Liability
12.1. Limitation: To the maximum extent permitted by applicable law, Equipia Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service or any Generated Content, including but not limited to loss of data, loss of profits, or business interruption, even if we have been advised of the possibility of such damages.
12.2. Medical and Professional Decisions: We expressly exclude all liability for any loss or damage arising from reliance on Generated Content for clinical, regulatory, procurement, or other professional decisions. Users are solely responsible for independently verifying all Generated Content.
12.3. Cap on Liability: To the extent any liability cannot be excluded by law, our total aggregate liability to you shall not exceed HKD 1,000.
13. Termination
13.1. Term: This Agreement commences on the date you create your Account and continues until terminated.
13.2. Termination by User: You may terminate this Agreement at any time by deleting your Account as described in Section 3.3.
13.3. Termination by Equipia: We may suspend or terminate your Account immediately upon written notice if you materially breach these Terms and fail to remedy the breach within 14 days of notice, or if you use the Service in a manner that poses legal, security, or reputational risk.
13.4. Effect of Termination: Upon termination, your right to access the Service ceases immediately. Your personal data will be handled in accordance with our Privacy Policy. Sections 5, 6, 11, 12, and 14 survive termination.
14. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. The parties agree that any legal action or proceeding relating to this Agreement shall be instituted in the courts of Hong Kong SAR.
15. General Provisions
15.1. Entire Agreement: This Agreement constitutes the entire agreement between you and Equipia Solutions Ltd with respect to your use of the Service and supersedes all prior agreements, representations, or understandings.
15.2. Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.3. Waiver: No failure or delay by us in exercising any right under this Agreement will constitute a waiver of that right.
15.4. Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of our assets.
15.5. Relationship of Parties: Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and Equipia Solutions Ltd.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the amended Terms on equipia.io or by notifying you directly by email. Your continued use of the Service after such notification constitutes your acceptance of the amended Terms.
